1. Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "Client," or "You") and Cloud and Code ("we," "our," or "us"). By accessing or using our website (https://cloudandcode.in/), desktop applications, mobile applications, cloud services, software licenses, API integrations, or purchasing Slate credits, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

If you do not agree to these Terms, you must immediately cease accessing and using our website and software products.

2. Description of Services & Digital Products

Cloud and Code provides custom software engineering, web and mobile app development, cloud infrastructure setup, and specialized software products including:

• Slate Retail POS & ERP: Offline-first retail management system for billing, barcode generation, inventory tracking, customer CRM, and business analytics.
• Slate CRM Suite: Unified customer management platform handling lead tracking, employee attendance, and customer communications.
• Warekeeper: Vending machine & FMCG warehouse management software for inventory control and route restocking.
• Ornament Trust: Loan management system for secured lending and gold loan lifecycle tracking.
• QR Generator: Instant web-based tool for creating customized QR codes for URLs, Wi-Fi networks, and contact cards.
• Digital Wedding Invitations: Interactive animated digital wedding invitation suites.
• WhatsApp Messaging API & Slate Credits: Cloud messaging API bridge for automated customer notifications, transactional messaging, and Slate credit top-ups.
• Algo Trading Software & Breakout Lens: Custom algorithm development converting client trading logic into execution scripts, and alert notification software.

3. Financial & Trading Software Disclaimer

Specifically regarding Algo Trading Software and the Breakout Lens app:

• We strictly provide software programming services to convert your own trading strategies into automated code.
• We do NOT provide stock recommendations, financial advice, buy/sell signals, or guarantee trading profits or capital protection.
• Financial trading in stock markets, futures, options, and commodities involves substantial risk of capital loss. You are solely responsible for all trading decisions and strategy outcomes. We accept zero liability for any trading losses incurred.

4. WhatsApp API & Acceptable Use Policy

When using our WhatsApp API messaging services or Slate Credits to send notifications:

• You agree to comply with all applicable WhatsApp/Meta Business and Commerce Policies.
• You warrant that all message recipients have explicitly opted in to receive communications from your business.
• You strictly agree NOT to use our API to dispatch unsolicited spam, fraudulent messages, misleading schemes, hate speech, or illegal content.
• We reserve the right to immediately terminate or suspend access to our API and forfeit credit balances without refund if any fraudulent or spam behavior is detected.

5. User Accounts & Security

To access certain features, buy Slate Credits, or manage software licenses, you may be required to register an account using Supabase or our portal. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

6. Payments, Licenses & Refund Policy

• Pricing: Prices for Slate App licenses, additional device add-ons, Slate Credits, and custom software services are listed on our website or provided in custom project proposals. Prices are subject to applicable taxes (including GST).
• Payment Processing: Payments are securely processed via third-party gateways such as Razorpay. By placing an order, you authorize the charge to your chosen payment method.
• Refund Policy: Due to the digital nature of our products, all sales of Slate Credits, software licenses, digital invitation packages, and custom code deliverables are final and non-refundable once activated, generated, or delivered, unless required under applicable mandatory law.

7. Intellectual Property Rights

All intellectual property rights in the website design, logos, trademarks, text, graphics, application interfaces, algorithms, and underlying source code belong exclusively to Cloud and Code. You are granted a limited, non-exclusive, non-transferable license to use purchased software products in accordance with your plan. You may not reverse engineer, decompile, redistribute, or resell our software without explicit written permission.

8. Limitation of Liability

To the maximum extent permitted by Indian law, Cloud and Code shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, trading losses, business interruption, or loss of data resulting from your use or inability to use our website, software, or API services.

All software services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.

9. Indemnification

You agree to defend, indemnify, and hold harmless Cloud and Code, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of your violation of these Terms, misuse of our services, or breach of third-party rights (such as Meta policies or recipient privacy).

10. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any legal dispute, legal proceedings, or claim arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the competent courts in Jaora / District Ratlam, Madhya Pradesh, India.

11. Modifications to Terms

We reserve the right to amend or replace these Terms of Use at any time. Updated versions will be posted on this page with a revised "Last Updated" date. Continued use of our website or services following any updates constitutes acceptance of the modified Terms.
